1. Agreement to Terms
By accessing or using LISO LTD's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.
2. B2B Services
LISO LTD provides manufacturing and OEM/ODM services exclusively to business clients. Our services include:
- Product design and development
- Manufacturing and production
- Quality control and inspection
- Packaging and logistics coordination
- Brand customization services
3. Order Process
3.1 Quotations
All quotations are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on material costs, specifications, and order quantities.
3.2 Purchase Orders
Orders become binding upon written confirmation from LISO LTD. All specifications, quantities, and delivery terms must be clearly stated in the purchase order.
3.3 Samples
Sample development fees and shipping costs are the responsibility of the client unless otherwise agreed in writing.
4. Payment Terms
Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment. Alternative payment arrangements may be negotiated for established clients with approved credit terms.
Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
5. Lead Times and Delivery
Production lead times are estimated based on order specifications and current production schedules. While we strive to meet agreed delivery dates, delays may occur due to circumstances beyond our control including but not limited to:
- Material supply chain disruptions
- Force majeure events
- Shipping and logistics delays
- Changes to specifications requested by the client
6. Quality Control
All products undergo quality inspection according to agreed specifications and industry standards. Acceptable Quality Level (AQL) standards will be defined in the purchase order or manufacturing agreement.
Clients have the right to conduct pre-shipment inspections. Inspection must be scheduled at least 48 hours in advance.
7. Intellectual Property
7.1 Client IP
All designs, trademarks, logos, and proprietary information provided by the client remain the property of the client. LISO LTD will not reproduce or use such materials for any purpose other than fulfilling the specific order.
7.2 LISO IP
Unless otherwise agreed in writing, LISO LTD retains ownership of all proprietary manufacturing processes, techniques, and original designs developed by LISO.
8. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information, technical data, business strategies, and pricing disclosed during the business relationship. This obligation continues for 3 years after termination of the business relationship.
9. Limitation of Liability
LISO LTD's liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific order in question. We are not liable for:
- Indirect, consequential, or incidental damages
- Loss of profits or business opportunities
- Defects resulting from client-provided specifications or materials
- Issues arising after products leave our facility
10. Compliance and Certifications
LISO LTD maintains certifications including BSCI, OEKO-TEX, GRS, and REACH compliance. Clients are responsible for ensuring products meet all regulatory requirements in their destination markets.
11. Cancellations and Returns
Orders may be cancelled before production begins with written notice. Once production has commenced, cancellation fees will apply based on work completed and materials purchased.
Returns are accepted only for manufacturing defects reported within 30 days of delivery and subject to inspection verification.
12. Governing Law
These Terms of Service are governed by the laws of [Jurisdiction]. Any disputes shall be resolved through arbitration in accordance with international commercial arbitration rules.
13. Modifications
LISO LTD reserves the right to modify these terms at any time. Clients will be notified of material changes. Continued use of our services after changes constitutes acceptance of modified terms.
